The Mergers & Acquisitions team of the Strategic Transactions Group is seeking experienced, mid-level associates to join our New York office.

Associates will support the firm's clients in the legal aspects of mergers and acquisitions transactions, including due diligence, drafting, and negotiating agreements, and providing legal advice and collaborate with cross-functional teams to ensure compliance with regulatory requirements and internal policies.

Duties/Responsibilities:
Associates in this position will be expected to:
  • Conduct due diligence on potential merger and acquisition targets, including reviewing financial statements, contracts, and other relevant documents.
  • Draft and negotiate acquisition transactional documents, such as merger agreements, asset purchase agreements, and confidentiality agreements.
  • Manage the due diligence process for these merger and acquisition transactions.
  • Conduct legal research and analysis on complex legal issues related to mergers and acquisitions.
  • Provide legal advice and guidance to clients on various aspects of mergers and acquisitions transactions.
  • Collaborate with internal and external stakeholders to ensure compliance with applicable laws, regulations, and industry best practices.
  • Assist in the preparation and review of legal documents, including legal opinions, memoranda, and presentations.
  • Stay updated on relevant legal developments and industry trends to provide proactive and strategic legal advice.

Required Skills/Abilities:
Qualified candidates must have 4 – 6 years of legal experience, currently working at a large AmLaw 100 law firm as an M&A associate, representing public and private companies in a variety of transactions, including acquisitions, joint ventures, and corporate governance. Candidates must also have a strong understanding of both the industry and evolving market terms. Superlative drafting experience and attention to detail will be essential since associates in this position will be responsible for drafting primary and ancillary acquisition transactions documents and managing the due diligence process for these transactions. Proven ability to be flexible to work within teams and manage parts of transactions independently, will also be required.

Candidates should have a strong academic record, a Juris Doctor (J.D.) degree from an accredited law school and must be admitted to, and a member in good standing, of the New York Bar.
