The Employment, Executive Compensation, and Benefits practice group is actively seeking highly experienced lateral associates with 3-7 years of expertise in executive compensation and employee benefits matters, to join our San Francisco office.

Associates in this position provide legal support and guidance on matters related to the benefits and executive compensation aspects of corporate transactions. Associates are involved in advising companies, investors, and executives on all aspects of executive compensation, benefits and ERISA issues. Associates work in teams to provide solutions for clients by developing strategies, drafting legal documents, and ensuring compliance of their executive compensation and employee benefits arrangements with applicable laws and regulations.

Duties/Responsibilities:
Associates in this position will be expected to:
  • Work on executive compensation and employee benefits portions of private equity and public company transactions including mergers and acquisitions, IPOs and asset sales.
  • Provide legal advice and counsel on executive compensation and employee benefits matters.
  • Assist in the design, implementation, and administration of executive compensation plans and programs.
  • Draft and review employment agreements and other compensation-related documents
  • Conduct legal research and analysis on relevant laws, regulations, and industry trends.
  • Advise clients on compliance with federal and state laws, including ERISA, tax laws, and securities regulations.
  • Assist in the negotiation and drafting of executive employment contracts and severance agreements.
  • Collaborate with other practice groups, such as tax and corporate, to ensure comprehensive client representation.
  • Stay updated on emerging legal developments and best practices in executive compensation and employee benefits.

Required Education, Experience and Skills
Juris Doctor (J.D.) degree from an accredited law school, strong academic credentials, and admission to practice in the state of California, or eligibility to obtain admission promptly in the state, is required.

Qualified candidates must have 3-7 years of legal experience working on executive compensation and employee benefits matters, preferably in a law firm, as a result of continuous practice and application. Candidates must also possess experience in M&A-related transactional benefits work, executive compensation, and traditional employee benefits, encompassing retirement and health and welfare plans.

Strong knowledge of relevant laws and regulations as well as attention to detail and sharp analytical skills, is essential. The ability to work both independently and collaboratively in a team-oriented environment is necessary for success.
