Paul Hastings' Securities and Capital Markets Group is seeking to hire a Mid-Level Associate to advise our growing base of public company clients on a day-to-day basis with respect to their disclosure obligations under the federal securities laws, their compliance with applicable listing standards, their interactions with the SEC and their corporate governance needs as a member of our Public Company Advisory team. Ideal candidates must have at least four years' experience in public company advisory work, including drafting and reviewing Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements, a strong familiarity with the listing standards of the major US exchanges, and an understanding of the key principles of executive and director compensation and related disclosures. Candidates should be comfortable advising clients on a variety of corporate governance matters and with respect to board management.
The Public Company Advisory team represents clients in a diverse range of industries, market capitalizations, and geographies, and helps public companies navigate critical times in their life cycles on their obligations and options. We advise on the full range of U.S. securities laws, including proxy statements, SEC no-action letters, and ongoing reporting requirements and are experts on crisis and other special situations with in-depth knowledge of all aspects of compliance with SEC laws and listing requirements of the major US exchanges. We keep clients informed of recent and pending developments and strategic trends in securities, corporate governance, and executive compensation advisory, and our work often includes preparatory and risk mitigation efforts.
This position may reside in any of our office locations. Law firm experience is required and candidates must be admitted to practice law and in good standing in the jurisdiction where they are hired. Please submit a cover letter, resume, law school transcript, and deal sheet.
The salary wage range that we expect to pay for this position is a minimum of $310,000 and a maximum of $390,000 (annually). The actual pay wage may vary based on experience or other relevant factors.
