Kutak Rock LLP seeks an attorney to join its corporate practice in its Denver offices. Qualified candidates will have a demonstrated interest in corporate transactions, such as real estate transactions, business transactions, contracts, and asset purchases. This role is ideal for self-starters who desire to grow their career in the firm's expanding regional and national real estate and finance practice while working in a collaborative and collegial environment.

Responsibilities:
  • Draft and negotiate a wide variety of transaction documents, including leases and other real estate related documentation, general contracts, purchase, and sale agreements
  • Prepare, negotiate, and review loan and security documents
  • Conduct financing transaction due diligence such as organizational documents, title and survey, grant agreements and other diligence review
  • Advise and counsel clients on real estate matters, including lending, finance, and/or leasing transactional practices
  • Manage regulatory and compliance related services ensuring that appropriate approvals are in place before transactions are executed

Qualifications:
Skills and Abilities
  • Demonstrated knowledge in corporate and real estate due diligence review (e.g., title insurance, ALTA/NSPS survey review, etc.
  • Proficient in contract drafting, review, and negotiation as well as loan documentation preparation and negotiation
  • Excellent research, writing, analytical, and communication skills
  • Ability to manage multiple matters and tasks simultaneously and to complete tasks efficiently, effectively, and in a timely manner
  • Ability and motivated to work effectively under pressure and to meet deadlines in a fast-paced environment
  • Strong organization and matter management skills
  • Ability to work professionally and collaboratively with partners, associates, and support staff
  • Ability to work effectively with large working groups as part of a transaction team

Qualifications:
Education and Experience
  • Juris Doctor (J.D.) from an ABA accredited law school required. Preference will be given to those with strong academic credentials, a judicial clerkship, or law review experience
  • Currently admitted to practice in Colorado with an active bar license in good standing or able to be admitted within one year required
  • Minimum 2 years' experience in corporate transactional matters required with experience in real estate, lending, finance, and/or leasing transactional practices

Position Information:
  • Status: Exempt
  • Salary Range: $170,000-$190,000 base per year
  • Work Arrangement: Hybrid
