Davis Wright Tremaine LLP is seeking a full-time corporate attorney for engagement through the firm's contract attorney and alternative staffing program, DWTSurge. This contract attorney position will work with the firm's Business and Tax practice group to help provide Corporate Transparency Act (CTA) analysis for the firm's clients.

This contract position will work independently to conduct CTA applicability and beneficial ownership analyses.

The selected attorney will also manage correspondence on behalf of the firm's CTA taskforce by responding to a high volume of both internal and client queries and by tracking the status of CTA requests. This role is client facing and requires a high-level of commitment to excellent client service. Attorneys should be able to work independently and exercise good judgement, but should also collaborate easily with various stakeholders, other lawyers, and support staff to meet objectives within short deadlines.

This contract position offers the flexibility of remote work. The engagement is for an initial 6-month contract term, but may be extended or renewed for additional terms as needed. We anticipate the work volume to be full-time through Q4. Prior to Q4, the volume of work may not be full-time but is anticipated to steadily ramp up as we approach Q4 of this year. We also anticipate that we may have some need for support in quarter one of 2025, that may ramp down to less than full-time hours. We are looking for attorneys interested in establishing a long-term working relationship with the Firm.

The ideal candidate will have:
  • 3-5 years of corporate legal experience focused on entity formation and transactions at a mid-sized or large law firm and/or with large institutional clients.
  • Residency and active bar admission in one of the following states: AK, AZ, CA, CT, FL, GA, IL, IN, KS, MD, MN, MT, NJ, NY, OK, OR, PA, TN, TX, VA, WA, and WDC. Attorneys must be barred in the states where they reside.
  • Attorneys barred and based in AK, CA, IL, NY, OR, VA WA, or WDC are strongly preferred.
  • Strong familiarity and experience with performing CTA and beneficial ownership analyses.
  • Familiarity with the Financial Crimes Enforcement Network's filing protocols and platform.
  • Ability to independently review and analyze the CTA applicability to specific entities and identify beneficial owners required to report for non-exempt entities.
  • Ability to manage a high-volume of CTA requests, queries, and beneficial ownership analyses on behalf of an internal taskforce.
  • Experience tracking beneficial ownership identification and parent company analysis for entities and trusts.
  • Experience with foreign entities reporting.
  • An understanding of CTA exemptions.
  • Availability to work 10 hours a week at the outset of the engagement with a steady ramp up to 40 hours by quarter four.
  • Flexibility to potentially increase hours as needed.
  • Ability to work remotely.
  • High-level of responsiveness and client service abilities.
  • Strong verbal, written, and interpersonal communication skills.
  • Excellent writing skills, strong attention to detail, and ability to produce high quality work product with minimal supervision and direction.

Please note that this is a temporary contract position managed by DWT's flexible attorney program, DWTSurge. Compensation will be paid on an hourly basis, commensurate with experience and skill level (see below). This role is benefitted. Salary Range:
The hourly compensation range for this position in CA, DC, MD, NY, and WA is $90 to $120 per hour. Actual pay will be adjusted based on the candidate's education, training, experience and other job-related factors permitted by law.
