We are seeking associates with 4-6 years of experience working in complex credit fund formation and insurance solutions for private fund sponsors. Our market leading team assists global asset managers and sponsors in the structuring and formation of complex credit private funds and structured credit funds (including rated note funds and captive CLO equity manager originator structures) and with post-establishment compliance and distribution. The team draws on the combined experience of its private fund formation and structured products groups to provide multi-dimensional advice to its clients. Our private funds and structured products specialists are continually keeping abreast of developments in the regulatory space, including attendance at key industry trade group meetings and speaking with managers, investors and other practitioners to ensure this market continues to develop in a way that brings the most benefit to our clients. Salary is $310,000+ commensurate with class year.

We are looking for:
  • Prior work with private credit or CLOs is a plus
  • Private fund formation experience, including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
  • Experience with fund raises from launch to close, including managing the entire project, to include interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics
  • Understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act is helpful
  • Large Law Firm experience required
