The Asset Management Group of the Corporate Department is seeking experienced Private Funds Associates with 3-6 years of legal experience. Private Funds Attorneys advise clients on the formation, structuring, and operation of private investment funds. This role involves drafting and negotiating fund documents, ensuring regulatory compliance, and providing ongoing legal support to fund managers and investors. Attorneys will work closely with clients to understand their business objectives and provides tailored legal solutions.

Duties/Responsibilities:
Associates will be expected to:
  • Advise clients on the formation and structuring of private investment funds.
  • Draft and negotiate fund documents, including limited partnership agreements, subscription agreements, private placement memoranda, and side letters.
  • Ensure compliance with securities laws and other regulatory requirements.
  • Provide ongoing legal support to fund managers and investors.
  • Conduct due diligence and review investment documents.
  • Assist clients with fund marketing and investor relations.
  • Advise on secondary transactions and fund restructurings.
  • Stay current with changes in laws and regulations affecting private funds.
  • Collaborate with other attorneys and professionals within the firm to provide comprehensive legal services.

Required Skills/Abilities:
Qualified candidates must have 3-6 years of legal experience working on private investment funds matters, and preferably, are currently experienced with working at a national/global law firm.

Candidates must also have:
  • Strong knowledge of securities laws and regulations.
  • Excellent drafting and negotiation skills in connection with the formation of private investment funds.
  • The willingness to self manage multiple, time-sensitive projects and actively coach junior associates.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal skills.
  • The ability to work independently and as part of a team.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction you are applying.

Compensation:
In accordance with New York's Pay Transparency Law, the anticipated pay range for this position is $260,000 - $390,000, which represents our good faith and reasonable estimate of the starting salary range at the time of posting.
